Please read these terms and conditions carefully before placing an order. They govern the supply of goods and services by Promovision Ltd.

1. Definitions

1.1 Company, we, our, us means Promovision Ltd.

1.2 Customer, you, your means the person or entity purchasing goods or services from us.

1.3 Goods means all products supplied by us, including undecorated and decorated items.

1.4 Services means decoration, printing, transfers, artwork preparation, and any other services we provide.

1.5 Order means any request for Goods or Services accepted by us in writing, including email confirmation and proof approval.

2. Price Beat Guarantee

2.1 We will beat a like-for-like official written quote that meets the conditions below. The guarantee is available only before an Order is placed and cannot be applied retrospectively. It cannot be combined with any promotion, bundle, loyalty programme or coupon.

2.2 Like-for-like means the same brand, model and SKU, the same decoration method and print area, the same quantity, garment colour or colours, packaging or finishing options, the same delivery destination, and the same dispatch or lead time.

2.3 Official written quote required. The competing price must be provided as an official written quotation issued by a New Zealand-based supplier. We will not accept product page links, screenshots, shopping cart views, price lists, marketplace listings or verbal quotes. The quotation must be on supplier letterhead or a PDF issued from a business email and must state the supplier's legal name, NZBN or GST number, registered address and contact details, the quoted SKU and description, decoration method and print area or locations, quantity, colour or colours, delivery address, dispatch or lead time, the total price including GST and shipping, the quote reference and the issue date.

2.4 Timing. The competing quotation must be dated within 14 days of your claim and must reflect stock availability and a dispatch or lead time no slower than the lead time quoted by us for the same job.

2.5 Scope. The competing supplier must be New Zealand-based. All quoted prices must be GST inclusive and must include shipping to the same delivery location.

2.6 Non-auction policy. The Price Beat Guarantee is a one-time price improvement. Once we confirm a better total price against the first valid competing quotation, that price is our best and final offer for the project referenced in that quotation. We are not obliged to match or beat any subsequent revised or lower quotations for the same project from the same or any other supplier. We may decline re-submissions or iterative counter-offers at our sole discretion. The Price Beat Guarantee is not available to facilitate a bidding process, and we may refuse or withdraw a claim where a bidding process appears to be occurring.

2.7 Exclusions. We will not beat prices that arise from pricing errors, clearance or liquidation sales, auctions or marketplace listings, loyalty or coupon codes, bundles, below-MOQ specials, misprints, or quotations that do not meet these conditions.

2.8 How to claim. Email us the official written quotation, a public URL for the quoted product page, and your artwork file. We may verify stock, lead times and details with the supplier. If approved, we will confirm a better total price prior to Order placement. Our confirmed Price Beat must be accepted within the validity period stated in our communication, after which it may lapse at our discretion.

3. Quotations and Orders

3.1 Quotations are valid for 14 days unless stated otherwise.

3.2 An Order is accepted only when we issue written confirmation and you approve the final proof and pricing.

3.3 We reserve the right to correct typographical or clerical errors in quotations and Order confirmations.

4. Pricing and Payment

4.1 Prices are in New Zealand dollars and, unless stated otherwise, exclude GST and freight.

4.2 Payment in full is required upon Order confirmation unless we agree otherwise in writing.

4.3 We may suspend production or delivery if payment is not received as agreed.

5. Proofs, Artwork and Approvals

5.1 We will supply proofs for decorated items. You must review all details, including spelling, colours, placement and sizes.

5.2 Your written approval of the proof constitutes acceptance. We are not liable for errors or omissions present in an approved proof.

5.3 For colour-critical work, provide Pantone references for spot colours. Digital processes reproduce colours within process limits and may differ from on-screen previews and from PMS on fabric.

5.4 We may adjust print sizes and positions within reasonable tolerances to suit the garment and method.

6. Decoration Methods and Quality

6.1 We decorate using accepted industry processes and modern inks or transfers. Normal wear and laundering will cause gradual change to prints and is not a defect.

6.2 PMS matches on textiles are approximations, particularly on coloured or textured fabrics and when using digital transfers.

6.3 Fine detail, half-tones and complex artwork may not reproduce identically across all substrates. Where limitations are noted on the proof, you accept those limitations by approving the proof.

7. Delivery, Risk and Title

7.1 We will arrange delivery by courier or freight carrier to your nominated address. Freight is charged at cost unless expressly stated otherwise in our quotation.

7.2 Risk in the Goods passes to you on delivery to your nominated address or to the carrier, whichever occurs first.

7.3 Title to the Goods remains with us until payment is received in full. If payment is not made, we may recover the Goods and you authorise us to enter your premises for that purpose.

8. Cancellations and Changes

8.1 Orders may not be cancelled without terms that compensate us for all costs incurred to the time of cancellation, including product, freight, pre-press and production time.

8.2 Changes after proof approval may incur additional charges and may affect lead times.

9. Inspection, Claims and Product Defects

9.1 You must inspect Goods promptly on delivery. Claims for defects or shortages must be made in writing within 10 days of the invoice date.

9.2 Where a claim is accepted, we may, at our option, replace the Goods or provide a credit or refund for the affected portion.

9.3 Some low-cost promotional items may contain minor imperfections that do not affect function. Such minor imperfections are not defects.

10. Liability

10.1 To the maximum extent permitted by law, our liability for any loss arising from the supply of Goods or Services is limited to the price paid for the affected Goods or Services.

10.2 We are not liable for indirect, special or consequential loss, loss of profit, loss of opportunity or third-party claims.

10.3 Nothing in these Terms limits rights and remedies that cannot be excluded under New Zealand law.

11. Consumer Guarantees Act 1993

11.1 If you are acquiring Goods or Services for the purposes of a business, you agree that the guarantees under the Consumer Guarantees Act 1993 do not apply.

11.2 If you are a Consumer under that Act, these Terms apply subject to your non-excludable rights.

12. Force Majeure

12.1 We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, strikes, government action, power failures, pandemics, supply chain disruption or carrier failure.

13. Intellectual Property

13.1 You warrant that you own or are licensed to use all artwork and logos supplied and that our use will not infringe the rights of any third party. You indemnify us for any loss arising from a breach of this clause.

14. Returns

14.1 Decorated Goods are produced to order and are not returnable for change of mind. Undecorated samples must be returned in original condition within the agreed timeframe.

15. Privacy

15.1 We will handle personal information in accordance with New Zealand privacy law. We use contact and delivery details to process Orders, provide proofs, arrange delivery and administer the Price Beat Guarantee.

16. General

16.1 These Terms, together with any written quotation and proof approval, form the entire agreement between the parties for the supply in question.

16.2 If any provision is held invalid, the remaining provisions remain in force.

16.3 These Terms are governed by the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the New Zealand courts.
